1. Agreement Overview
These Vendor Terms of Service ("Terms") govern your access to and use of the MyEliteHouse vendor administration portal, related APIs, documentation, and services (collectively, the "Vendor Platform"). By registering an account, clicking accept, or otherwise using the Vendor Platform, you agree to be bound by these Terms and our Privacy Policy.
If you are using the Vendor Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity and that "you" refers to that entity. If you do not agree with these Terms, you may not access or use the Vendor Platform.
2. Vendor Responsibilities
You are solely responsible for the accuracy, quality, and legality of the products, descriptions, pricing, media assets, and any other content you upload. You warrant that you own or have obtained all necessary rights to publish such materials.
You must fulfill orders in a timely manner, maintain accurate inventory levels, and comply with all applicable laws, including consumer protection, tax, and product safety requirements. MyEliteHouse reserves the right to remove content or suspend access if we determine, in our reasonable discretion, that your content violates these Terms or applicable law.
3. Fees and Payments
Where applicable, you agree to pay the subscription, transaction, or service fees associated with your chosen vendor plan. MyEliteHouse may deduct fees from payouts or invoice you directly. All fees are non-refundable unless required by law.
You authorize MyEliteHouse to process payments using the payment method on file. Late payments may result in suspension or termination of your access to the Vendor Platform.
4. Intellectual Property
MyEliteHouse retains all right, title, and interest in the Vendor Platform and associated intellectual property. Subject to these Terms, MyEliteHouse grants you a limited, non-exclusive, non-transferable license to use the Vendor Platform solely to manage your products and orders on the MyEliteHouse marketplace.
You grant MyEliteHouse a worldwide, royalty-free license to host, store, reproduce, modify, and display your content for the purposes of operating and promoting the MyEliteHouse marketplace and fulfilling customer orders.
5. Termination
You may terminate your vendor account at any time by contacting support or using the account closure tools made available to you. MyEliteHouse may suspend or terminate your access immediately if you breach these Terms, violate applicable laws, or engage in fraudulent or harmful activities.
Upon termination, obligations that by their nature should survive (including payment obligations, indemnities, and intellectual property licenses granted to customers) will remain in effect.
6. Limitation of Liability
To the fullest extent permitted by law, MyEliteHouse is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your access or use of the Vendor Platform.
MyEliteHouse’s total liability to you for any claim arising out of or relating to these Terms or the Vendor Platform is limited to the fees paid by you to MyEliteHouse during the six (6) months preceding the event giving rise to the claim.
